1. Introduction
These Terms of Service (“Terms”) govern your use of the AI workforce services and related deliverables provided by Landing Pad Digital Co., Ltd., trading as Landing Pad Solutions (“we”, “us”, “our”). By submitting a Hiring Brief, signing a proposal, or otherwise engaging our services, you (“Client”, “you”) agree to be bound by these Terms together with any signed proposal or order document.
Where there is any inconsistency between these Terms and a signed proposal, the signed proposal prevails.
2. Definitions
“Agent” means a configured AI worker assigned to a defined role.
“Department” means a group of related Agents sharing memory, brand voice, and escalation rules.
“Tier 1-3 Services” means subscription-based deployments where the Agents run on our infrastructure under a multi-tenant model.
“Tier 4 Services” means a build-and-handover engagement where the Agents are deployed to your infrastructure and operated by you.
“Deliverables” means the configurations, prompts, integrations, documentation, and any custom code created for you.
“Effective Date” means the date a proposal is signed or a first payment is received, whichever is earlier.
3. Services
We provide AI workforce services in two distinct shapes, with different operational and contractual implications. The shape that applies to you is defined in your proposal.
Subscription-based. Agents run on our managed infrastructure. We act as a Data Processor where personal data is involved. Monthly or annual billing. Cancellable in line with the proposal.
Build-and-handover. Agents are deployed to your infrastructure and operated by you after handover. You are the Data Controller throughout. One-off project fee plus optional support retainer.
3.1 Scope
The exact scope, agents deployed, integrations, and timeline are defined in your proposal. Anything not listed in the proposal is out of scope and will be quoted separately if requested.
3.2 Service availability (Tier 1-3 only)
We target 99.5% monthly uptime for Tier 1-3 services, measured at the orchestration layer. Scheduled maintenance windows, upstream provider outages, and force majeure events are excluded from this calculation.
4. Fees and payment
Fees are stated in your proposal. Subscription fees (Tier 1-3) are billed monthly or annually in advance. Project fees (Tier 4) are billed in milestone instalments as set out in the proposal.
All fees are stated in Thai Baht unless otherwise specified. Prices exclude VAT and any applicable withholding tax, which are payable in addition where due.
Invoices are payable within fourteen (14) days of issue. Overdue amounts may incur late payment interest at a rate to be confirmed in your proposal.
5. Client obligations
You agree to:
- Provide accurate information in your Hiring Brief and during scoping;
- Make reasonably available the access, credentials, content, and contacts required for us to deliver the services;
- Use the services in compliance with all applicable laws, including data protection laws and the acceptable use policies of any underlying AI providers;
- Not attempt to extract, copy, or reverse-engineer the Agents, prompts, or orchestration layer outside the scope granted in these Terms.
6. Intellectual property
6.1 Our pre-existing materials
We retain ownership of all platform code, orchestration logic, prompts, configurations, frameworks, and methodologies developed by us prior to or independently of our engagement with you (“Our Materials”).
6.2 Deliverables
For Tier 1-3 services, you are granted a non-exclusive, non-transferable licence to use the Deliverables for your business purposes for the duration of your subscription.
For Tier 4 services, on full payment of all fees due, you receive a perpetual, non-exclusive licence to use the Deliverables on your infrastructure for your business purposes. Our Materials embedded in the Deliverables remain ours.
6.3 Your content
You retain ownership of all content, data, brand assets, and material you provide to us. You grant us a limited licence to use this content solely to deliver the services.
7. Confidentiality
Each party will treat the other’s confidential information as confidential, will use it only for the purposes of the engagement, and will not disclose it to third parties without consent, save where required by law or to professional advisers under equivalent confidentiality obligations.
This obligation survives termination of the engagement for a period of three (3) years.
8. Warranties
We warrant that we will perform the services with reasonable skill and care and in accordance with the proposal. To the maximum extent permitted by law, all other warranties (express or implied) are excluded.
AI outputs are probabilistic. While we work to deliver consistent and accurate behaviour through configuration, prompting, and testing, we do not warrant that any Agent will produce a particular output for a given input.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising under or in connection with these Terms (whether in contract, tort, or otherwise) is capped at the fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
Neither party is liable for indirect, consequential, or special losses, including loss of profit, loss of business, or loss of goodwill.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.
10. Termination
Either party may terminate a Tier 1-3 subscription with thirty (30) days’ written notice, taking effect at the end of the current billing period.
Either party may terminate immediately if the other party commits a material breach not remedied within fourteen (14) days of written notice, becomes insolvent, or ceases to trade.
On termination, you remain liable for fees due up to the termination date. We will provide reasonable assistance with data export at our standard hourly rate.
11. Governing law and jurisdiction
These Terms are governed by the laws of the Kingdom of Thailand. The parties submit to the non-exclusive jurisdiction of the courts of Chiang Mai.
12. Changes to these terms
We may update these Terms from time to time. We will notify active clients of material changes by email at least thirty (30) days before the change takes effect. Continued use of the services after the change date constitutes acceptance of the updated Terms.
